Terms of use

These terms are the agreement between you and Zadesta for using RUE. By creating a RUE profile or signing in, you agree to them.

1. Who we are

RUE is made and run by Zadesta Ltd, a company registered in Ontario, Canada (address: Marley Cres, Ottawa, Canada K1J 1C1, Ontario Corporation Number 1001267281). In these terms, “Zadesta”, “we” and “us” mean Zadesta Ltd. “You” means the person using RUE, or the business you use it for.

RUE comes in two parts: RUE Personal, for your own and your household’s money, and RUE Business, for a company’s books, clients, documents and team. You can reach us at [email protected].

2. What RUE is, and what it is not

RUE helps you see, sort and understand money you already have. It gives you information, not advice, and it never touches your money.

• RUE never holds or moves money. It cannot pay, transfer, invest or borrow for you. It is not a bank, payment service, lender or money transmitter in any country.
• RUE does not ask for your online banking password. You add figures yourself, upload statements, or connect a service with read-only access that you can remove at any time.
• RUE is not financial, tax, accounting, investment or legal advice. Forecasts, break-even estimates, runway, tax figures and tips are estimates based on the data you give it. Check important decisions with a qualified professional, such as your accountant.
• You stay responsible for your own tax returns, filings, payments and business records.

Where RUE shows tax rates, thresholds or deadlines, they are there to help you plan. They may change, and they are not a substitute for your own accountant’s advice.

3. Your account

You must be at least 18 years old, or the age of majority where you live if that is higher, to use RUE.

• Give true details when you sign up and keep them up to date.
• Keep your sign-in private. Do not share your password. Tell us straight away at [email protected] if you think someone else has used your account.
• One person, one account. A RUE Personal profile belongs to one person. People you invite to “Ours” get their own sign-in and only see what is shared with them. Only invite a teenager (13 to 17) if you are their parent or guardian; you are responsible for what they can see and do.

4. RUE Business workspaces and teams

Each business on RUE gets its own private workspace. No other business can see into it.

• Owners are in charge. The person who sets up a business workspace decides who joins, what each person can see and do, and who can see each document.
• You must have the right to add people and data. If you add staff, an accountant or client records, you confirm you are allowed to share that information with RUE and with them.
• The business controls its records. The business decides what goes into its workspace and what happens to it. Zadesta looks after that information on the business’s behalf.
• When someone leaves, an owner can remove their access at any time. Their past actions stay in the activity history so the business keeps an honest record.
• Opening by invitation. RUE Business is opening business by business. We may decide who can open a workspace and when.

5. Your data

Your information stays yours. We only use it to run RUE for you, as the Privacy notice explains.

• You own what you add: transactions, statements, receipts, documents, notes and photos.
• You let us store and process it only as needed to show it back to you, do the sums, keep it safe and support you. This permission ends when your data is deleted.
• We never sell your data and never use it for advertising.
• You can download your records (as CSV or PDF) and delete your account at any time.

6. Accuracy

RUE’s figures are only as accurate as the data behind them. Statements can be read wrongly, exchange rates move, and forecasts are estimates.

• Check what RUE reads from a statement, receipt or letter before you save it.
• Currency conversions use published daily rates. They may differ from the rate your bank gave you.
• If you spot a mistake in RUE itself, please tell us so we can fix it.

Using the demo

Anyone can try RUE in a demo, free, without an account. The demo is for trying RUE out. It comes as it is, and we may change it, reset it or switch it off at any time.

• Use the sample data, or your own data only if you are happy for it to sit in a demo space for a short time.
• Nothing in the demo is financial, tax or legal advice, and figures from it should not be relied on.
• The fair-use rules below apply in the demo too: no misuse, no trying to break in, and no automated scraping.
• Each demo is private to the person who opened it, and is deleted automatically (see the Privacy notice).

7. Fair use

Use RUE only for lawful purposes and only for your own or your business’s money. You must not:

• upload anything you have no right to share, or that is unlawful;
• use RUE to hide money, avoid tax unlawfully, launder money or commit fraud;
• try to get into another person’s or business’s data, or test, break or overload RUE’s security;
• copy, resell or rebuild RUE, or use automated tools to pull data out of it, without our written permission.

We may suspend an account that breaks these rules or puts others at risk. Where we can, we will tell you why first.

8. Services from other companies

Some features connect to other companies, such as Wise, Stripe, Google (Gmail), a till (Square or Shopify), an AI provider for Ask Rue’s fuller answers (Anthropic or Google), or a text-message service for bill reminders. You choose whether to use them, their own terms apply to what they do, and we only ask them for what RUE needs.

9. Price

RUE Personal is free today. RUE Business, and extra AI answers, may become paid. We will give you at least 30 days’ notice, by email and in RUE, before any charge starts or any price changes, and you will never be charged without agreeing to it first.

10. Keeping RUE running

RUE is new and we improve it often. We work to keep it available and safe, but we cannot promise it will never be down or never have a fault. We may add, change or remove features; if we remove something important you rely on, we will tell you in advance where we reasonably can. Keep your own copies of records you must keep by law.

11. Ending your use of RUE

You can delete your account at any time from Settings. Deletion happens after 30 days, and signing in before then cancels it. We may close an account that breaks these terms, or that has not been used for 24 months, after warning you by email. If we ever stop offering RUE, we will give you at least 60 days’ notice and a way to download your records.

12. Our responsibility to you

• RUE is provided “as is”. We do not promise it will suit every purpose or be free of errors.
• We are not responsible for decisions you make based on RUE’s figures or estimates, or for losses caused by incorrect data you add, or by services from other companies.
• Our total responsibility to you for any claim is limited to the greater of what you paid us in the 12 months before the claim or CA$100.
• Nothing in these terms takes away rights you have by law as a consumer, including your statutory rights in the UK and consumer protection laws in Canadian provinces such as Quebec, the US and Nigeria. Where the law does not allow a limit above, that limit does not apply to you.

13. Which law applies

These terms are governed by the laws of Ontario and the federal laws of Canada. If you are a consumer living in the UK, the US, Nigeria or another Canadian province, you also keep the protection of your local law and can bring a claim in your local courts. Before going to court, please contact us first; most problems can be fixed by talking.

14. Changes to these terms

We may update these terms as RUE grows. We will tell you about important changes by email and in RUE at least 30 days before they apply. If you keep using RUE after that, the new terms apply. If you do not agree, you can delete your account.
